Wholesale Terms & Conditions (B2B Policy)

Desert Pearl Mushrooms, LLC ("Desert Pearl Mushrooms" or "DPM" also referred to herein as the "Seller") is dedicated to serving the greater Tucson area community. Below is a summary of our wholesale payment terms and conditions for service.

DPM offers heavily discounted rates compared to our standard retail pricing ("wholesale") to restaurants, distributors, grocers, and other producers with a valid business license (the "Buyer" also referred to herein as a "client" or a "customer") in the hope of creating long-lasting relationships with other businesses to help share our products with their clients and consumers.

WHOLESALE TERMS FOR BUSINESS-TO-BUSINESS SALES

Payment
NET 10—Prompt payment is expected 10 days after the acceptance of our produce. This is our standard expected payment period, however, terms over 10 days and up to 30 days (NET 30) may be available upon request for future invoices, and a separate "written payment terms agreement" between the Seller and the Buyer must be executed. An optional credit authorization agreement is also encouraged for automatic payments and is available upon request.

Late or Non-Payment
Past-due balances accrue interest at the rate of 1.5% monthly (18% yearly). The Buyer agrees to pay all collection costs, including attorneys' fees and additional sums owed in connection with each transaction, in the event collection becomes necessary.

Placing Orders
Clients who wish to place an impulse order ("one-off") for wholesale for small to medium-sized orders (under 10 pounds) must inquire with DPM by Monday, 5 p.m. to see if we have sufficient inventory to satisfy your order. Large impulse orders of 10 pounds or more are encouraged to be placed at least 2-3 weeks prior to the date the produce is needed by the client. Most of our produce is made-to-order and some orders may be satisfied by 

Standing Orders for Recurring Deliveries
Clients may place a recurring order for produce delivery ("standing orders"), which can be tailored to the client's delivery preferences and schedule to minimize cost for both DPM and the client. Deliveries outside our regular delivery area and schedule may incur an additional fee for delivery.

Delivery and Fees (if applicable)
Desert Pearl Mushrooms delivers to wholesale clients Tuesdays through Fridays. In general, we offer free local delivery along certain routes that allow for the costs of labor and mileage to be distributed over several of DPM's client accounts. However, if a client's delivery venue is outside DPM's regular distribution radius (generally, downtown and central Tucson), then a service fee may be necessary to cover the additional cost of the delivery driver's time and mileage reimbursement, which will be discussed with the client in advance of the scheduled delivery and then added to the invoice.

Change Orders and Cancellations
Changes to orders, including cancellation of a standing order or scheduled delivery, MUST be communicated in writing to DPM either by e-mail to sales@desertmushroom.com or by text message to (520) 815-6874 no later than Monday 6 p.m.
